Terms of service

The agreement between you and Sign Squirrel when you use the website, web app, API or AI connector.

Last updated: October 14, 2026

These terms ("Terms") govern your use of Sign Squirrel (the "Service"), operated by MagisSolutions, Inc., a company registered in the Philippines, with its office at D1 Unit GS4-02V, 2F Gems Plaza Bldg., Circumferential Road, Dalig, Antipolo City, Rizal, Philippines ("Sign Squirrel", "we", "us"). By creating an account, signing a document or otherwise using the Service, you agree to these Terms and to our Privacy policy. If you use the Service on behalf of an organisation, you confirm you're authorised to bind it, and "you" includes that organisation.

1. The Service

Sign Squirrel lets you prepare documents from Markdown or PDF, send them to signatories by email, collect electronic signatures, and keep a signed copy with a certificate of completion and an audit trail. You can use it through the web app, our REST API, or our Model Context Protocol (MCP) server from AI assistants such as Claude and ChatGPT.

2. Accounts and teams

  • You must be at least 18 and provide accurate account information.
  • You're responsible for keeping your password, two-factor codes and API tokens secure, and for everything done with them.
  • Documents belong to a team. Team members can see and act on the team's documents, and the team's owner manages members, billing and settings.
  • Tell us promptly if you suspect unauthorised access to your account.

3. Electronic signatures

Before signing, every signatory is asked to consent to doing business electronically. Sign Squirrel records that consent, the signature, a SHA-256 fingerprint of the content, and a hash-chained audit trail, to help show the document is enforceable under laws such as ESIGN and UETA in the United States and eIDAS in the European Union.

However:

  • Sign Squirrel is not a law firm and doesn't give legal advice. Whether a particular document is valid and enforceable depends on its content, the parties and the applicable law.
  • Some documents — for example wills, certain real-estate, family-law or notarised instruments — may be excluded from electronic signature laws or have extra requirements. You're responsible for deciding whether an electronic signature is appropriate.
  • Signatures collected through the Service are simple (or "standard") electronic signatures.
  • We verify that a signatory controls the email address the sender entered, by emailing them a private link. We don't otherwise verify identity.

4. Your content

You keep all rights to the documents and information you put into the Service ("Your Content"). You give us a limited licence to host, copy, process, transmit and display Your Content only as needed to run the Service for you, for example to email it to signatories and render signed copies.

You confirm that:

  • you have the right to use Your Content and to send it to the people you add as signatories;
  • you have a lawful basis, and have given any notice required, to share signatories' names and email addresses with us; and
  • Your Content doesn't break the law or these Terms.

Once a document is sent, its content is frozen and fingerprinted so it can't be changed, and its audit trail can't be edited. Deleting a document removes it from your workspace, but we may keep records needed to preserve evidence of a signed agreement, as described in our Privacy policy.

5. Acceptable use

You must not use the Service to:

  • send spam, phishing or unsolicited bulk requests, or impersonate anyone;
  • obtain a signature through fraud, coercion or deception;
  • send unlawful, infringing, defamatory or harmful content, or malware;
  • probe, overload or interfere with the Service, bypass rate limits or plan limits, or access other teams' data;
  • resell or white-label the Service except through features we provide for that purpose.

We may suspend or remove content or accounts that break these rules.

6. API and AI connectors

  • API tokens are bound to one team and act with the permissions of the user who created them. Keep them secret; anyone holding a token can create and send documents for that team.
  • When you connect an AI assistant, it acts on your instructions. You are responsible for reviewing what the assistant drafts and for documents it sends on your behalf. We recommend asking it to save drafts and reviewing them in the web app before sending.
  • AI-generated document text may be inaccurate or unsuitable for your situation. It is not legal advice from us or the AI provider.
  • Your use of the AI assistant itself is governed by the AI provider's own terms. We aren't responsible for the assistant's behaviour or how the provider handles data you share with it.
  • We apply rate limits to the API and MCP server and may change or withdraw tools at any time.
  • You can revoke a connection at any time by deleting its token under AI & API in the app.

7. Plans, billing and cancellation

  • The Free plan includes one document per calendar month. Paid plans are billed per team, per month, in advance. Current prices are shown on our pricing section.
  • Payments are processed by Polar, which acts as merchant of record and is the seller for your purchase.
  • Subscriptions renew automatically until cancelled. You can cancel at any time from the billing portal; your plan stays active until the end of the paid period and then reverts to the Free plan.
  • Prices exclude taxes. Any applicable sales tax or VAT is added at checkout.
  • Payments are non-refundable, including for partial months, except where the law requires otherwise. If you think you were charged in error, contact us within 14 days of the charge and we'll put it right.
  • We'll give you at least 30 days' notice by email before a price change applies to your subscription.

8. Custom signing domains

If you connect your own domain, you confirm you control it and will keep the required DNS records in place. We may disable a domain that fails verification or is used in breach of these Terms.

9. Availability and changes

We work to keep the Service available and secure but don't promise it will be uninterrupted or error-free. We may improve, change or discontinue features, or the Service as a whole.

10. Suspension and termination

You can stop using the Service and delete your account at any time from Settings → Profile. We may suspend or terminate access if you materially breach these Terms, if required by law, or to protect the Service or other users. Sections that by their nature should survive termination (including 4, 11, 12 and 13) will survive.

11. Disclaimers

To the extent permitted by law, the Service is provided "as is" and "as available", without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose and non-infringement. We don't warrant that any document signed through the Service will be enforceable.

12. Limitation of liability

To the extent permitted by law, we won't be liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, data or goodwill. Our total liability for any claim relating to the Service is limited to the greater of the amount you paid us in the 12 months before the claim and US$100. Nothing in these Terms limits liability that can't be limited by law.

13. Indemnity

You'll defend and indemnify us against third-party claims arising from Your Content, your use of the Service in breach of these Terms, or your violation of law or anyone's rights.

14. Governing law and disputes

These Terms are governed by the laws of the Philippines, and the courts of Antipolo City, Rizal have jurisdiction over any dispute about them. If you're a consumer, you keep any protections given to you by the law of the country where you live.

To the extent permitted by law, you and we each agree to bring claims only in an individual capacity, and not as a plaintiff or class member in any class, collective or representative action.

15. Changes to these Terms

We may update these Terms. We'll post the new version here and update the date above, and for material changes we'll notify account holders before they take effect. Continuing to use the Service after that means you accept the updated Terms.

16. General

These Terms and our Privacy policy are the whole agreement between us about the Service. If any part is unenforceable, the rest still applies. Not enforcing a right isn't a waiver. You may not transfer these Terms without our consent; we may transfer them as part of a merger, acquisition or sale of assets.

17. Data processing

This section applies where data protection laws such as the GDPR or UK GDPR apply to personal data in Your Content, including signatories' details. For that data you are the controller and we are your processor, and this section forms the data processing agreement between us. We will:

  • process it only to provide the Service and on your documented instructions, which are these Terms and the way you use the Service, unless the law requires otherwise — in which case we'll tell you first, unless the law forbids that;
  • make sure anyone we authorise to process it is bound by confidentiality;
  • protect it with appropriate technical and organisational measures, including those described in the Security section of our Privacy policy;
  • use only sub-processors bound by data protection terms at least as protective as these. You authorise the categories listed in our Privacy policy, and we'll let you know before adding or replacing a sub-processor so you can object; if we can't resolve your objection, you may stop using the Service;
  • help you respond to requests from people exercising their data protection rights, and with security, breach notification, data protection impact assessments and consultations with regulators, taking into account the information available to us;
  • notify you without undue delay after becoming aware of a personal data breach affecting it;
  • delete it when you delete it from the Service or close your account, except where the law requires us to keep it; copies in backups are deleted within 365 days;
  • make available the information needed to show we meet these obligations, and allow for and contribute to reasonable audits, including inspections, by you or an auditor you appoint; and
  • where it is transferred out of the EEA, UK or Switzerland to a country without an adequacy decision, rely on the European Commission's Standard Contractual Clauses (and the UK Addendum where relevant), which are incorporated into these Terms by reference.

The data concerns signatories and other people named in your documents, and includes names, email addresses, signatures, IP addresses, user agents and whatever personal data you put in a document. It is processed for as long as you use the Service.
